A commercial company (Company Ltd) must have a minimum of 7 persons not below the age of 20 years, though after initial setup shares can be given to any person under 20 years or any juristic person. The majority of those shareholders (i.e. more than 4 persons) can be foreigners but the Thai shareholder(s) must own more than 50 % of the company. The only exceptions are US citizens who can own a majority share or after BOI approval.

The registered capital is according to applications of work permits for foreigners, per each work permit Baht 2 million registered capital.

Name of company:
You have three different choices, ie XXX Co., Ltd., XXX Phuket Co., Ltd. or XXX Thailand Co., Ltd.

Your child or a foreign company can be shareholder after the initial process of registration.

Registration of Partnerships (Partnership Ltd.)

Following documents necessary:
In order to setup your company we need from each Thai-Shareholder 5 copies of house-registration (each copy bearing the original signature), 5 copies of the ID-Card (each copy bearing the original signature). From each foreigner we need 2 copies of the passport (each copy bearing the original signature).
The company address is the office and/or place of work (different branches in Thailand possible).
